Civil Litigation
Mark Schroeder and Doug Tibble successfully represented a client in a complex fraud and breach of fiduciary lawsuit against the client’s former business partners who misappropriated assets and opportunities worth in excess of $30 million. The dispute involved multiple joint venture entities and properties, and lawsuits in both Illinois and Florida. Following extensive fact and expert witness discovery, Mark and Doug extracted a very favorable settlement before the jury trial was to begin.

Douglas Tibble represented the private lender in a $5,000,000 financing of the borrower’s acquisition of a manufacturing business that was a division of a fortune five hundred company. The transaction included securing the financing on the acquired real estate, tangible assets, intellectual property and receivables. After closing the transaction, Doug arranged for limited debt subordination to enable the borrower to secure operational funding from a local bank.
Real Estate Law
Doug Tibble led our team in assisting our client to conclude a three-way multi-acre agricultural land swap involving our client, a municipality and a manufacturing business intending to construct a manufacturing facility on the land our client swapped with the municipality and it thereafter acquired from the municipality. The land assemblage required various boundary changes, subdivisions and parcel consolidations. We designed and drafted the documents for all of the transactions between the three parties and coordinated the multiple closings involving numerous parties. The transaction was further complicated by the manufacturing party’s receiving financial concessions from the municipality for its anticipated construction and operation of its facility on the newly acquired parcel. We were able to conclude the transaction remotely.
Business Law
Mark Schroeder represented a Chicago-based technology client in its initial round of “series seed” financing by a venture capital syndicate that included the conversion of several SAFEs (Simple Agreement for Future Equity) held by earlier investors to preferred stock of the client. The client’s software platform centralizes its customers’ data, automates approvals, and enables collaboration across their supply chains. The series seed investment will allow the client to scale up operations and expand to new markets.
Civil Litigation
In the early stages of their highly contentious litigation, Elizabeth Bacon resolved a dispute involving a closely held business and cross allegations of fraud, misuse of corporate assets and breach of fiduciary duty by the owners against each other. Her negotiating an agreed resolution not only achieved a great outcome for our client, but also resulted in substantial savings of anticipated attorney’s fees and related litigation costs, and enabled our client to focus on his new business rather than on litigation involving his old business.
