The manufacturer hired the consultant and promised to pay him in corporate shares at a time when its shares were selling for about $1/share. The value of the promised shares at the time the parties entered into the consulting agreement was approximately $100,000. Shortly thereafter, the shares rose to over $23/share and the manufacturer refused to pay the consultant in shares, alleging that it was only bound to pay the consultant $100,000 (the value of the shares at the time of the contract).
